1. Introduction
Welcome to BizziBuddy. These Terms of Service ("Terms") govern your access to and use of the BizziBuddy website and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
BizziBuddy provides a business management platform designed for small and medium enterprises in Nigeria. Our Services include inventory management, sales tracking, invoice generation, and related business management tools.
2. Account Registration
To access and use most features of our Services, you must register for an account. When you register, you must provide accurate and complete information. You are responsible for safeguarding your account credentials and for all activities that occur under your account.
You may not:
- Share your account credentials with any third party
- Transfer your account to another person
- Create more than one account per business unless explicitly permitted
- Create an account for someone other than yourself without permission
We reserve the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, not current, or incomplete.
3. Subscription and Payment
BizziBuddy offers various subscription plans, including a 30-day free trial. After the trial period, you may choose to subscribe to one of our paid plans.
By subscribing to a paid plan, you agree to pay all fees in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. Payment must be made by the methods specified within the Services.
Subscription fees are non-refundable except as specifically provided in these Terms or when required by law. We reserve the right to modify our pricing at any time, provided that we will notify you before the price change becomes effective.
3.1 Free Trial
We offer a 30-day free trial of our Services. During the trial period, you will have access to all features included in the trial plan. No payment information is required to start your free trial. At the end of the trial period, your account will be automatically downgraded to a limited free version unless you choose to subscribe to a paid plan.
3.2 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel your subscription before the renewal date. By subscribing, you authorize us to charge your payment method for the next billing period.
3.3 Cancellation
You may cancel your subscription at any time through your account settings or by contacting our customer support. If you cancel, you may continue to use the Services until the end of your current billing period. We do not provide refunds for partial subscription periods.
4. User Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials
- Ensuring that your use of the Services complies with these Terms and applicable laws
- The accuracy and legality of the data you input into the Services
- Obtaining all necessary permissions to share any third-party information
- Regularly backing up your data outside of our Services
You agree not to use the Services to:
- Violate any applicable law or regulation
- Infringe on the rights of others
- Send spam or unsolicited communications
- Distribute malware or other harmful content
- Interfere with or disrupt the integrity or performance of the Services
- Attempt to gain unauthorized access to the Services or related systems
5. Intellectual Property Rights
The Services and all content and materials included therein, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the property of BizziBuddy or its licensors and are protected by Nigerian and international copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes. This license does not include the right to:
- Modify, reproduce, distribute, or create derivative works based on the Services
- Use any data mining, robots, or similar data gathering and extraction methods
- Use the Services for any commercial purpose other than managing your own business
- Remove any copyright, trademark, or other proprietary notices
6. Data Privacy
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.
We will only use your data in accordance with our Privacy Policy and will not sell or rent your personal information to third parties. We may use anonymized and aggregated data for analytical purposes.
7. Limitation of Liability
To the maximum extent permitted by law, BizziBuddy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services.
In no event shall our total liability to you for all claims exceed the amount paid by you to us for the Services during the 12 months preceding the event giving rise to the liability.
8. Service Availability and Modifications
We strive to ensure that our Services are available 24/7, but we do not guarantee that the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors.
We reserve the right to modify, suspend, or discontinue, temporarily or permanently, the Services or any features thereof, with or without notice. You agree that we shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.
9. Termination
We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.
Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.
All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Lagos, Nigeria.
11. Changes to Terms
We reserve the right to modify these Terms at any time. If we make changes, we will provide notice, such as by sending an email, providing a notice through the Services, or updating the date at the top of these Terms.
Your continued use of the Services after such notice constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you should discontinue your use of the Services.
